Dominic Conlon, Partner & Head of Corporate, Ogier Leman

Dominic is head of Ogier Leman's Corporate Department. He advises on mergers and acquisitions, joint ventures, corporate finance, venture capital and private equity, corporate restructuring, corporate governance, IT contracts, outsourcings and general commercial matters. He has advised many of Irelands largest financial institutions, corporates and technology companies. Dominic has a particular interest and expertise advising clients in the Payments space, working on some of the most interesting payments deals which have taken place in Ireland over the last 18 years.

A graduate of Trinity College Dublin, Dominic practiced for 15 years, 8 as partner in the corporate department of A&L Goodbody, a leading Irish commercial firm, before spending 3 years as head of international firm Walkers Irish corporate department. Dominic has been published, and has lectured, on many of the above topics.

Rodolfo Fernandez-Cuellas, Partner, Augusta Abogados

Rodolfo specializes in corporate law, technology and arbitration. He has developed his career in the international area, advising numerous international companies in their establishment in Spain and in corporate M&A deals, start-up companies and financing in the technology sector and health-tech, among others.

Rodolfo graduated in law at the Universitat de Barcelona in 1988.  In May 2006, he received his PhD as a Doctor in Law cum laude.  He is a Member of the Barcelona Bar Association.

Tracey Ginn, Partner, MBM Commercial

Tracey has over 25 years of experience as a corporate and business lawyer in both the UK and the US. Tracey heads up MBM's Corporate and USA practices. She is an attorney and active member of the State Bar of California as a well as a solicitor. In addition to UK corporate investment and M+A work, Tracey’s practice area includes advising on US corporate and commercial transactions, advising on transactions between UK/European businesses and US entities including investment rounds, joint ventures and the establishment, capital structure and shareholding arrangements of US entities and advising high growth/tech companies through all phases of growth and across a range of sectors including IT, life sciences, healthcare and e-commerce. Her key clients include UK businesses with US operations, SMEs and high growth technology companies. Having lived and worked in California for 14 years before joining MBM in August 2016, Tracey retains strong links with her US clients and her US legal networks.

During her years of practice, Tracey has developed significant deal experience and works efficiently and effectively alongside clients to navigate the legal process and negotiate on their behalf, always aiming to meet the clients’ goals. Tracey advises businesses on the variety of legal issues that arise in the course of doing business. Her broad experience includes working with many industries and types of business in both the UK and the US and advising on novel and complex structures. This experience is very useful in helping clients meet the changing needs of the marketplace.

Stuart Hendry, Senior Partner and Founder, MBM Commercial

Stuart is an award winning lawyer, a co-founder of the firm and became its Senior Partner on its tenth anniversary in 2015. Stuart is actively involved with client work at MBM Commercial and divides his time between his Scottish and London client bases. Acting as legal adviser to numerous investors, technology companies, entrepreneurs and business owners, Stuart regularly deals with a wide range of corporate, corporate finance and M&A deals. He is often retained to help clients plan ahead for specific events, such as a major funding round or company sale. Stuart is regularly involved in deals involving VC funds, mezzanine debt providers, overseas acquirers, trade investors, business angel syndicates and academic institutions.

Caroline Urban, Partner, MBM Commercial

Caroline is a bilingual (German and English) Partner in MBM’s London Corporate Team. Before joining MBM, she worked at international law firms and gained broad corporate experience advising on buy and sell-side of M&A transactions, investments on company and investor side and capital markets transactions. Caroline advises several e-commerce and other industry aggregators on their acquisitions. She also manages their overall business support with expertise from the other specialist areas include debt finance and security, commercial contracts (from supply agreements to bespoke services agreements) and IP protection (registered and unregistered). Caroline is a committee member of the British Chamber of Commerce in Germany.
